WiseBOS Terms & Conditions


1.       GENERAL

The following Terms and Conditions of Sale apply to all contracts of sale of WiseBOS Services made by eBOS Technologies Ltd  (the Company) and the Company’s agents  to the exclusion of any contrary or inconsistent terms or conditions contained or referred to in the customers order (unless otherwise agreed in writing by both parties).

These conditions shall be governed construed and shall take effect in accordance with the Laws of Cyprus and shall be subject to the jurisdiction of the Cyprus Courts.

The customer shall be deemed to have accepted these conditions when a payment for Services is made, unless notice in writing to the contrary is received by the Company within three days from the date of purchase. Any variation of these terms or conditions must be confirmed in writing by both parties

All prices are subject to alteration and are only accepted on the understanding that Services will be involved at prices ruling the date of order, (unless otherwise agreed in writing by the Company). Prices quoted are exclusive of VAT.

The right to use the Services shall not granted until subscription payment has been made by the customer.

2.       COPYRIGHT

All title, copyright and other intellectual property rights in relation to the WiseBOS products and any copies thereof are owned by the Company. All title and intellectual property rights in relation to the content that may be accessed through use of the WiseBOS are the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.

3.       LICENCE, USE AND COPY

Provided that the Client has paid a WiseBOS Subscription fee, as agreed between the Client and the Company or the Company’s agents, the Company hereby grants the Client a WiseBOS Licence to use the WiseBOS Services.

4.       RESTRICTIONS

The Client must maintain all copyright notices on all copies of the WiseBOS and keep the contents of WiseBOS confidential.

The Client must use and show the Company's Logo at the first page of the Website.

The Client may not whether in whole or in part reverse engineer, de compile or disassemble the WiseBOS or attempt to cause damage to the WiseBOS software.

The Client may use WiseBOS to publish only professional business and scientific information and to sell products or services which fall strictly in categories defined by the Chamber of Commerce and Industry. Any inappropriate material (Including adult material, information relating to terrorism etc) that will be published using WiseBOS will result with the immediate removal and termination of WiseBOS Service without any prior notice to the Client. In such a case no refund will be given to the Client. The later overights paragraph 5 of this document.

The Setup fee of WiseBOS service is given at the beginning of the contract.

Minimum contract of WiseBOS is 6 months. In case the Client wants to terminate the WiseBOS service, after the 6th  month contract, the Client must inform the Company by giving 20 days notice.

 

5.       TERMINATION

In the event of a breach by the Client of these Terms and Conditions, the Company will notify the Client in writing that a breach has occurred, giving the Client a period of 10 calendar days to remedy the breach. If the Client fails to remedy the breach within the time period specified, the Client’s WiseBOS Services will be terminated without prejudice to any other rights the Company may have.

6.       SATISFACTORY QUALITY AND FITNESS FOR USE

The Company gives no warranties in relation to fitness for use. The Company is not responsible for omissions of a design nature and it is assumed that upon agreement to license the product the Client fully accepts the design parameters that exist in the WiseBOS. The Company warrants that the WiseBOS is of satisfactory quality however; this warranty does not apply in relation to defects specifically drawn to the Client’s attention before entering into an agreement with the Company and if the Client has tested the WiseBOS prior to taking a licence to use WiseBOS.

7.      LIMITATION OF LIABILITY

The Company’s entire liability for any claims for breach of contract, tort and negligence and the Client’s exclusive remedy is limited to the value of WiseBOS subscription fees paid. The Client is responsible for the safekeeping of their username and password, as well as the their private key for dencrypting online transactions. The Company takes no responsibility for loss or damage to the Clients website or customers transactions due to gross negligence on behalf of the Client. The Company takes no responsibility in case the WiseBOS product is unavailable due to the technical problems arising from the Internet Service Provider of WiseBOS.

8.       PRIVACY

We are committed to protecting your privacy. We will only use the information you give us lawfully, (in accordance with the Data Protection Act 1998). We require collecting information about you to firstly process your order and secondly to provide you with the best possible service we can. Any information other than your delivery details will not be passed on to any third parties. The information we will require of you will include some or all of the following: your name, billing address/delivery address, phone number, fax number and email address. We do not store your credit/debit card details as these are only entered via the secure server.

Once we have dealt with your order we will only contact you if we feel we have a service or promotion which may interest you. If you do not wish to receive such correspondence, please contact us and we will remove your details from our records. If, however, you wish to be kept informed of any promotions or future activities please advise us. "None of the above affects your statutory rights as a customer"
